Does Umbrella Insurance Cover Tustin HOA Board Members?

Serving on a Tustin HOA board is volunteer work, but it comes with real legal exposure most residents don’t think about until they’re asked to join. Here’s where the association’s own insurance ends, and where your personal umbrella policy might still matter.

What the HOA’s D&O Policy Already Covers

Under California’s Davis-Stirling Common Interest Development Act, every HOA is legally required to carry Directors and Officers (D&O) liability insurance, at minimum $500,000 for smaller associations (100 or fewer units) and $1,000,000 for larger ones. This policy is specifically designed to protect board members from personal liability tied to governance decisions, things like enforcing rules, denying an architectural request, or handling association finances.

California Law Gives Board Members a Real Shield, With Conditions

Civil Code §5800 caps a volunteer board member’s personal liability at the amount of the HOA’s insurance coverage, but only when specific conditions are met: the board member acted within the scope of their duties, in good faith, and the association actually maintained adequate D&O coverage at the time. If any of those conditions fail, that statutory protection disappears.

Where the Gaps Actually Show Up

  • Inadequate or lapsed D&O coverage: If the HOA didn’t maintain proper coverage, Civil Code §5800 protection doesn’t apply, exposing board members to liability without a cap
  • Owning multiple units: California’s standard D&O forms specifically exclude coverage for board members who own more than two separate interests in the development
  • Claims outside the scope of duties: Allegations of bad faith, intentional misconduct, or acting outside your role as a director generally void the statutory protection entirely

Where Personal Umbrella Insurance Fits

This is genuinely a gray area worth discussing directly with your agent. Personal umbrella policies are generally built around personal liability, auto accidents, injuries at your home, that sort of thing, and many carriers treat volunteer board service as a distinct category rather than something automatically included. Some personal umbrella policies do extend limited coverage to volunteer director roles; others exclude anything resembling business or organizational governance activity entirely.
